Terms of Service & EULA

These Terms of Service and End User License Agreement ("Terms") govern your use of clubprimehouston.com, Prime OS, Club Prime account and portal features, online ticketing, VIP reservations, memberships and related digital services. By accessing or using these services, creating an account, making a purchase, or accepting these Terms during checkout, you agree to be bound by them.

You must be legally capable of entering into a binding agreement to use paid or account-based services. Club Prime is a nightlife venue and individual events, alcohol service, after-hours programming or venue access may require guests to be 21 or older. A website purchase does not override age, identification, capacity, dress code, conduct or other venue requirements.

You are responsible for providing accurate information, maintaining the confidentiality of your login credentials, and activity conducted through your account. Staff, management, resident and member portal access may be limited by role and authorization level. You may not access another person's account, bypass access controls, or use Club Prime systems for an unauthorized purpose.

Online card payments are processed using Clover payment services. You authorize the applicable charge when you submit a purchase. Club Prime may retain payment status, transaction references, order identifiers and reconciliation records, while Clover processes card information under its own applicable terms and privacy practices. A reservation, ticket, membership or other paid benefit is not confirmed until the required payment has been successfully authorized and recorded.

Unless otherwise required by law or expressly stated for a particular transaction, ticket sales, deposits, VIP/table payments, bottle-service payments, private-event payments, memberships, food and beverage pre-orders, packages and add-ons are subject to Club Prime's posted final-sale and refund rules. VIP inventory is limited and is not guaranteed until the required payment is completed. Event cancellation or material service failure will be handled in accordance with the transaction-specific terms and applicable law. See our Policies page for current ticket, VIP and refund terms.

When a membership is offered on a recurring basis, you authorize the stated recurring charges until cancellation takes effect. Membership pricing, benefits, eligibility, event exclusions, resident verification requirements and cancellation rules are shown at enrollment or in the applicable membership terms. Benefits may be modified, limited or unavailable during designated special events, ticketed performances, holidays or premium programming as disclosed by Club Prime.

Reservations and event access remain subject to venue capacity, event rules, age restrictions, identification requirements, dress code, arrival policies, safety requirements and lawful instructions from management or security. Club Prime may refuse or end service, remove a guest, or restrict access when reasonably necessary for safety, compliance, fraud prevention, disruptive conduct or violation of venue policies. Such action does not create a right to a refund except where required by law or expressly provided in the applicable purchase terms.

By requesting a confirmation, concierge follow-up, reservation update, account message or other service communication, you consent to receive communications reasonably necessary to fulfill that request using the contact information you provide. Promotional communications require separate applicable consent and may be opted out of as described in the message or our Privacy Policy.

Club Prime grants you a limited, revocable, non-exclusive, non-transferable license to access and use the website and applicable account features for their intended purpose. You may not copy, scrape, reverse engineer, interfere with, circumvent security controls, resell access to, or use automated means against the services except as expressly authorized by Club Prime or permitted by law.

Club Prime names, logos, branding, site designs, photographs, graphics, text, software interfaces and other content are owned by or licensed to Club Prime and are protected by applicable intellectual-property laws. No ownership rights are transferred to you by use of the services.

Some features rely on third-party services such as payment processors, hosting and authentication providers, calendar services, communications providers, mapping services, social platforms, membership services or other integrations. Those services may be governed by separate terms and privacy policies. Club Prime is not responsible for third-party services outside our reasonable control.

We may update, suspend, limit or discontinue digital features, integrations, prices, benefits or operational functions when reasonably necessary. We do not guarantee uninterrupted or error-free access to the website, Prime OS, third-party integrations or online services. We will use reasonable efforts to preserve confirmed paid obligations or provide an appropriate remedy where required by applicable law.

To the fullest extent permitted by law, the digital services are provided on an "as available" basis without warranties of uninterrupted availability, error-free operation or compatibility with every device or third-party service. Nothing in these Terms excludes any warranty or consumer right that cannot legally be excluded.

To the fullest extent permitted by law, Club Prime will not be liable for indirect, incidental, special, exemplary or consequential damages arising from use of the digital services, third-party outages, unauthorized account activity caused by your failure to protect credentials, or events outside Club Prime's reasonable control. Any limitation applies only to the extent permitted by applicable law and does not limit liability that cannot legally be limited.

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles, except where another law must apply. Any court proceeding relating to these Terms or the Club Prime digital services will be brought in a court of competent jurisdiction in Harris County, Texas, unless applicable law requires a different venue.

We may update these Terms as our services, payment features, membership programs, venue operations or legal requirements change. Updated Terms will be posted on this page with a revised effective date. Continued use after an update constitutes acceptance to the extent permitted by law.
